Platform-wide terms for using Xclusive Desk software, communication services, integrations, APIs, and related products.

1. Introduction

These Terms of Service ("Terms") govern your access to and use of Xclusive Desk and related services provided by Xclusive Platforms Private Limited ("Xclusive Desk", "Platform", "Company", "we", "our", or "us").

By accessing, registering for, or using Xclusive Desk, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

2. About Xclusive Desk

Xclusive Desk is a cloud-based software platform that may include, but is not limited to:

  • Customer Engagement Solutions
  • Contact Center & IVR Solutions
  • WhatsApp Business Integration
  • CRM Solutions
  • Customer Support & Helpdesk
  • Marketing Automation
  • AI Assistants
  • Workflow Automation
  • Reporting & Analytics
  • API Services
  • Loyalty Solutions
  • Communication Platforms
  • Other Software-as-a-Service offerings

Features may vary by subscription plan.

3. Account Registration

To access certain services, you may be required to create an account.

You agree to:

  • Provide accurate information
  • Maintain updated information
  • Keep login credentials secure
  • Restrict unauthorized access
  • Notify us of any security breach

You are responsible for all activities performed through your account.

4. Customer Responsibilities

Customers are solely responsible for:

  • Their users
  • Their communications
  • Their content
  • Their campaigns
  • Their customer interactions
  • Compliance with applicable laws

Customers must ensure that all platform usage complies with:

  • Local regulations
  • Industry regulations
  • Data protection laws
  • Anti-spam regulations
  • Third-party platform policies

5. Acceptable Use Policy

You may not use Xclusive Desk to:

  • Engage in unlawful activities
  • Send spam or unsolicited communications
  • Distribute malware
  • Impersonate individuals or organizations
  • Violate intellectual property rights
  • Circumvent platform security
  • Interfere with platform operations
  • Access unauthorized information

We reserve the right to suspend accounts that violate these provisions.

6. Third-Party Services

Xclusive Desk may integrate with third-party providers including:

  • Meta
  • WhatsApp
  • Google
  • Microsoft
  • Telephony Providers
  • SMS Providers
  • Payment Gateways
  • Cloud Providers
  • Other external services

Use of third-party services remains subject to their respective terms and policies.

Xclusive Desk is not responsible for outages, restrictions, policy changes, or actions taken by third-party providers.

7. Customer Data Ownership

Customers retain ownership of all data they submit, upload, generate, or process through the Platform.

Xclusive Desk does not claim ownership of customer data.

Customers grant Xclusive Desk a limited right to process such data solely for the purpose of providing services.

8. Intellectual Property

All rights, title, and interest in Xclusive Desk, including:

  • Software
  • Source Code
  • Designs
  • Documentation
  • APIs
  • Trademarks
  • Branding
  • Platform Features

remain the exclusive property of Xclusive Platforms Private Limited.

No rights are transferred except those expressly granted under these Terms.

9. Subscription and Billing

Certain services require payment.

Customers agree to pay:

  • Subscription fees
  • Usage-based charges
  • Messaging charges
  • Telephony charges
  • Setup fees
  • Professional service fees
  • Applicable taxes

Fees are non-refundable unless otherwise agreed in writing.

Failure to pay may result in service suspension or termination.

10. Service Availability

While we strive to provide reliable services, Xclusive Desk does not guarantee uninterrupted availability.

Services may be affected by:

  • Maintenance activities
  • Internet disruptions
  • Cloud provider outages
  • Third-party platform issues
  • Regulatory actions

11. Suspension and Termination

We may suspend or terminate access if:

  • These Terms are violated
  • Illegal activity is detected
  • Security risks are identified
  • Payment obligations are not met
  • Third-party platform policies are violated

Customers may terminate services according to their subscription agreement.

12. Limitation of Liability

To the maximum extent permitted by law, Xclusive Platforms Private Limited shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Loss of profits
  • Loss of business opportunities
  • Loss of goodwill
  • Data loss
  • Service interruptions

arising from use of the Platform.

Our aggregate liability shall not exceed the amount paid by the customer during the preceding twelve (12) months.

13. Indemnification

Customers agree to indemnify and hold harmless Xclusive Platforms Private Limited, its directors, employees, partners, and affiliates against claims arising from:

  • Customer content
  • Customer communications
  • Customer misuse of services
  • Violations of law
  • Violations of third-party rights

14. Confidentiality

Both parties agree to protect confidential information received from the other party and use such information solely for purposes related to the services.

Confidential information excludes information that:

  • Is publicly available
  • Was independently developed
  • Was lawfully obtained from third parties

15. Security

Xclusive Desk implements reasonable security measures designed to protect customer information.

Customers acknowledge that no system can guarantee absolute security.

Customers are responsible for securing their own credentials and access permissions.

16. Compliance with Third-Party Policies

Customers using integrated services such as WhatsApp Business, Meta, Google, telephony providers, or payment providers must comply with applicable third-party policies.

Violation of third-party policies may result in suspension of related services.

17. Modifications to Services

We may modify, improve, replace, or discontinue features, functionality, or services from time to time.

We will make reasonable efforts to notify customers of material changes where appropriate.

18. Changes to These Terms

We may update these Terms periodically.

Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.
